We negotiate purchase and sale agreements on behalf of buyers and sellers, facilitate 1031 exchanges, negotiate with lenders and clear title in commercial and residential real estate transactions.
JV & CORPORATE
We negotiate the terms of joint ventures – including limited liability company operating agreements, preferred equity investments, profit participations and other strategic alliances, including sales and acquisitions of corporate stock.
FINANCING
We prepare mortgage loan documents on behalf of lenders, review title, and perform legal due diligence of leases affecting the subject property. The firm further specializes in negotiating loan modifications and loan workouts.
BORROWER REPRESENTATION
The firm's breadth of experience in representing lenders translates into understanding and skillfully negotiating loan agreements, notes, mortgages, environmental indemnities and guaranties when representing borrowers in financing transactions.
LEASING
The firm represents landlords and tenants in the preparation and negotiation of commercial leases for office, restaurant, hospitality, triple net and ground lease transactions. We further prepare lease summaries as part of lender's due diligence.
